1. Agreement to Terms
By accessing or using the services provided by UpNorthDigital.ai ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.
2. Services Description
UpNorthDigital.ai provides:
- Web development and design services
- AI-powered solutions including RAG and MCP systems
- Custom software development
- Desktop applications including enTANGlement (TANG)
- Consulting and technical support services
3. User Responsibilities
You agree to:
- Provide accurate and complete information
- Maintain the confidentiality of your account credentials
- Use our services in compliance with all applicable laws
- Not engage in any activity that disrupts or interferes with our services
- Not attempt to gain unauthorized access to our systems
4. Intellectual Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are the exclusive property of UpNorthDigital.ai and are protected by international copyright, trademark, and other intellectual property laws.
Custom work created for clients remains the property of the client upon full payment, unless otherwise specified in a separate agreement.
5. Payment Terms
For paid services:
- Payment is due according to the terms specified in your service agreement
- All fees are non-refundable unless otherwise stated
- We reserve the right to modify our pricing with 30 days notice
- Late payments may result in service suspension
6. Privacy
Your use of our services is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices.
7. Disclaimers and Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, secure, or error-free.
We do not guarantee specific results from the use of our services.
8. Limitation of Liability
To the maximum extent permitted by law, UpNorthDigital.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
Our total liability shall not exceed the amount paid by you for the services in the twelve (12) months preceding the claim.
9. Indemnification
You agree to defend, indemnify, and hold harmless UpNorthDigital.ai and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of our services or violation of these Terms.
10. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use our services will cease immediately.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in Wisconsin.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of our services after any changes constitutes acceptance of the new Terms.
